Board of Directors Meeting
February 11, 2006

The meeting was called to order at 10:05 am by President Alice Taylor. A quorum was established. Board members present were President Alice Taylor; Vice President Frank Samuelson; Secretary Eugene Bartee; Directors Nancy Cockshott, Dee Willemsen; Alternate Michael Willemsen. Treasurer Jeff Lindevald; Directors Geri Hill, Jan Turner and Pat Tarpley were excused.

Guests present were Mike Dolio and Lynn Glocker of Lot 70.

Minutes of the previous meeting November 12, were read and approved as amended, Gene Bartee motioned and Mike Willemsen seconded. So moved.

Correspondence: Jeff Lindevald, Treasurer, submitted his resignation, letter received from Franchise Tax Board, Admin Asst to forward to Cora Bell. No calls received. Requests were made for a change to map on website to reflect a lot line adjustment, Gene Bartee to amend website.

Treasurer’s Report: Admin Asst gave brief breakdown, will be put into report form as no Financial Report was available due to resignation of Treasurer. Will be reviewed during March meeting.

Lot 84’s check was returned from the bank for NSF. Lot 74’s bill is going out registered mail as it is over one year in arrears, board to determine if ProSolutions will be asked to intervene.

Discussion regarding pool resurfacing costs being reallocated from expenses to Capital Outlay.

Mike Willemsen read Jeff Lindevald’s resignation letter before the board citing scheduling conflicts.

New Business: In order to continue on with Board decisions, Gene Bartee suggested the combination of the Secretary and the Treasurer positions as seen on many Board of Directors rosters. Mike Willemsen nominated Gene Bartee to hold the joint position as he is already the Secretary of the Board. Frank Samuelson seconded. Unanimously favorable vote.

Gene Bartee motioned to add Mike Dolio to the Board of Directors to replace Jeff Lindevald. Frank Samuelson seconded, unanimously favorable vote. Welcome Mike D!

Old Business: Frank Samuelson asked what invoices were paid to Wet and Warm during 2005. There were none in the A/P binder so a statement was presented to the Admin Asst and a check was cut to Wet and Warm for the outstanding invoices.

Frank and Mike to get the security box at the bank during this upcoming month.

New Business: VIP needs a new 2006 chair. Alice Taylor has discovered that HOA’s can ask for Grants from the government to offset costs of cleanup within association borders. Mike Dolio has volunteered to chair the VIP committee for 2006.

Transfer fees are still too low and will be changed for the upcoming year from $125 to $175 per transfer.

Motion made to pay Gene Bartee a minor stipend for his upkeep of the website. Amount determined would be $120 a year for his contribution of time and expertise.

Discussion was made regarding checking up on the pumps and needing clean up at the common area. Tabled until next meeting.

Administrative Assistant to obtain a new color of wristbands for the upcoming year for pool admittance.

Frank Samuelson motioned to donate labor to the library for compliance of the exit sign inside the front library door. Frank will ask for Gaylord’s assistance.

Mike Dolio mentioned that Mike Mayon’s house is being broken into and the deck is extremely unsafe, Admin Asst to write letter to owner stating hazard and vagrant possibilities at the location.

UPCOMING MEETING DATES FOR 2006!!!!! All meetings are on Saturday and at 10:00 am unless otherwise denoted. Four of these dates are changed from the original November 12th minutes.

Assets & Liabilities Report: There are no pending litigations and the assessments are adequate. No increases are being contemplated.

Meeting was adjourned at 11:45. Next meeting will be held on March 11, at 10:00 at Arnold Public Library.
